1. Introduction & Acceptance
These Terms & Conditions ("Terms") constitute a legally binding agreement between Good Faith Labs, operating as Slotly ("Slotly", "we", "us", or "our"), with registered office at Shajapur, Madhya Pradesh - 465001, and you ("Customer", "you", or "your") governing your access to and use of the Slotly platform and services.
By subscribing to, accessing, or using any part of the Slotly platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of an educational institution or organization, you represent and warrant that you have the authority to bind such entity to these Terms.
If you do not agree to these Terms, you must not access or use the Slotly platform.
2. Service Description
2.1 Platform Overview
Slotly provides a cloud-based Software as a Service (SaaS) solution designed specifically for educational institutions to manage:
- Academic scheduling and timetable generation
- Leave management for faculty and staff
- Related administrative workflows
2.2 Dedicated Instance
Each Customer receives a dedicated database instance ensuring complete data isolation and security. Your institutional data remains separate from other customers' data.
2.3 Service Features
The subscription includes:
- Full access to Scheduling/Timetabling module
- Full access to Leave Management module
- Unlimited customizations within the scope of these modules
- Regular platform updates and bug fixes
- Email and chat support
- Implementation and onboarding assistance
2.4 Customizations
We provide unlimited customizations, including but not limited to:
- Custom features and functionality within the scheduling and leave management modules
- Workflow modifications to suit institutional requirements
- System integrations with existing institutional software
- Report generation and data analytics features
All customization requests are subject to technical feasibility and must relate to the core modules (Scheduling/Timetabling and Leave Management).
3. Subscription Plans & Pricing
3.1 Available Plans
We offer two subscription plans:
Monthly Plan
- Billed monthly in advance
- Can be cancelled with immediate effect
- Pricing as per the subscription agreement or quotation provided
Annual Plan
- Billed annually in advance
- Preferential pricing compared to monthly billing
- Infrastructure is provisioned for the full annual term
3.2 Price Inclusions
All subscription prices include:
- Platform access fees
- Dedicated database instance
- Unlimited customizations (as defined in Section 2.4)
- Technical support
- Regular updates and maintenance
- Payment gateway processing fees
3.3 Price Reviews
Subscription prices are locked for the initial subscription term. Prices may be reviewed and adjusted for subsequent renewal terms based on:
- Infrastructure and operational costs
- Service enhancements and new features
- Market conditions
- Customer-specific usage and requirements
We will provide at least 60 days' notice of any price changes before they take effect.
3.4 Taxes
All prices are exclusive of applicable taxes, including but not limited to Goods and Services Tax (GST). Applicable taxes will be added to invoices as per Indian tax laws.
4. Payment Terms
4.1 Payment Methods
We accept payments via:
- Unified Payments Interface (UPI)
- Credit Cards (Visa, Mastercard, RuPay)
- Debit Cards (Visa, Mastercard, RuPay)
4.2 Billing Cycle
- Monthly Plan: Invoiced on the 1st day of each month for that month's service
- Annual Plan: Invoiced upon subscription activation for the full year
4.3 Payment Due Date
All invoices are due immediately upon receipt. Access to the platform is subject to timely payment of all fees.
4.4 Late Payments
If payment is not received within 7 days of the invoice date:
- We reserve the right to suspend access to the platform
- Late payment fees as per the subscription agreement may be applied to overdue amounts
- Service suspension will continue until all outstanding amounts are paid in full
4.5 Failed Payments
In the event of failed payment transactions:
- We will attempt to notify you via email
- You will have 5 business days to provide alternative payment
- Failure to complete payment may result in service suspension or termination
5. Service Usage Limits
5.1 Fair Usage
Your subscription includes:
- Unlimited API requests (subject to fair usage)
- Support for up to 50,000 monthly active users
- Reasonable storage for institutional data
5.2 Fair Usage Policy
While we offer unlimited API requests, usage must be reasonable and in line with normal institutional operations. We reserve the right to investigate and restrict access in cases of:
- Automated excessive requests that impact platform performance
- Attempts to reverse engineer or compromise the platform
- Usage that violates these Terms
5.3 Exceeding Limits
If your institution's usage consistently exceeds 50,000 monthly active users, we may:
- Contact you to discuss your requirements
- Propose an enterprise plan with higher limits
- Adjust pricing to accommodate your scale
6. Customizations & Intellectual Property
6.1 Ownership of Platform
Slotly and all related intellectual property, including but not limited to source code, database structures, algorithms, user interface designs, documentation, and all customizations remain the exclusive property of Good Faith Labs. No ownership rights are transferred to you under these Terms.
6.2 Custom Features
All custom features, modifications, and integrations developed for your institution remain our intellectual property. We retain the right to:
- Reuse custom features for other customers
- Incorporate learnings into the core platform
- Modify or enhance features at our discretion
6.3 Source Code Licensing
The standard subscription does not include access to source code. However, source code licensing may be available upon request at a separately negotiated fee. Such licensing would be subject to a separate agreement.
6.4 Customer Data Ownership
You retain all ownership rights to your institutional data, including:
- Faculty and staff information
- Student data
- Schedules and timetables
- Leave records
- Any other data you input into the platform
6.5 License Grant to Slotly
You grant us a limited, non-exclusive license to use your data solely for:
- Providing and improving the services
- Generating anonymized analytics and insights
- Technical support and troubleshooting
We will not sell, share, or use your identifiable data for any purpose other than service delivery without your explicit consent.
7. Service Availability & Performance
7.1 Service Commitment
We strive to maintain high availability of the Slotly platform and target 99% uptime. However, we do not guarantee uninterrupted access to the services.
7.2 Scheduled Maintenance
We may perform scheduled maintenance that temporarily interrupts service availability. We will:
- Attempt to schedule maintenance during off-peak hours
- Provide advance notice when feasible
- Minimize the duration of any service interruption
7.3 Unscheduled Downtime
Service interruptions may occur due to infrastructure failures, third-party service provider issues, security incidents, or force majeure events. We will work diligently to restore service as quickly as possible but are not liable for any losses resulting from service unavailability.
7.4 No Service Level Agreement
Unless explicitly agreed in writing, no Service Level Agreement (SLA) with uptime guarantees or performance credits applies to your subscription.
8. Data Ownership & Retention
8.1 Your Data Rights
You retain full ownership of all data you input into the Slotly platform, including personnel records, academic schedules, leave records, configuration data, and any other institutional data.
8.2 Data Security
We implement industry-standard security measures to protect your data:
- Encryption of data in transit and at rest
- Dedicated database instances
- Regular security updates
- Access controls and authentication

8.3 Data Export
Upon request during your active subscription, we will provide exports of your data in industry-standard formats (such as CSV, JSON, or SQL dump) at no additional charge.
8.4 Data Retention After Cancellation
Upon subscription cancellation or termination:
- We will provide a final export of all your data within 7 business days
- Your data will be retained in our systems for 30 days following cancellation
- After 30 days, all your data will be permanently deleted from our systems
- You are responsible for downloading and storing your data export
8.5 Data Deletion Requests
You may request immediate deletion of your data at any time by submitting a written request. Once deleted, data cannot be recovered.
9. Cancellation & Refunds
9.1 Monthly Plan Cancellation
For Monthly Plan subscribers:
- You may cancel your subscription at any time
- Cancellation takes effect immediately
- No refunds will be provided for partial months
- You will lose access to the platform upon cancellation
- You remain responsible for all charges incurred up to the cancellation date
9.2 Annual Plan Cancellation
For Annual Plan subscribers:
- You may cancel your subscription at any time
- No refunds will be provided for unused portions of the annual term
- This no-refund policy exists because we provision dedicated infrastructure for the full annual term to provide preferential pricing
- Your access will continue until the end of your paid annual term
- The subscription will not auto-renew after the annual term expires
9.3 Cancellation Process
To cancel your subscription:
- Submit a written cancellation request via email to support@slotlyai.com
- Include your institution name and subscription details
- We will confirm receipt and process your cancellation
- A final data export will be provided as per Section 8.4
9.4 Our Right to Terminate
We reserve the right to suspend or terminate your subscription immediately if:
- You breach any provision of these Terms
- Your account is used for fraudulent or illegal activities
- You fail to pay fees when due (after notice period)
- Your usage violates our Acceptable Use Policy
In cases of termination by us due to your breach, no refunds will be provided.
10. Term & Termination
10.1 Subscription Term
- Monthly Plan: Continues month-to-month until cancelled by either party
- Annual Plan: Initial term of one year from activation date
10.2 Renewal
- Monthly Plan: Automatically renews each month unless cancelled
- Annual Plan: Does not automatically renew; you must actively renew for subsequent terms
10.3 Effect of Termination
Upon termination or expiration of your subscription:
- Your access to the platform will cease
- All user accounts will be deactivated
- Your data will be handled as per Section 8.4
- Any outstanding fees remain due and payable
- Sections of these Terms that by their nature should survive (including Intellectual Property, Limitation of Liability, and Dispute Resolution) will continue to apply
11. Limitation of Liability
11.1 Service "As-Is"
The Slotly platform is provided "as-is" and "as-available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
11.2 Limitation of Damages
To the maximum extent permitted by law, Good Faith Labs shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Costs of substitute services
- Any damages arising from or related to your use or inability to use the platform
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
11.3 Maximum Liability
Our total aggregate liability for all claims arising from or related to the services shall not exceed the total amount paid by you to Slotly in the 12 months immediately preceding the claim, or the amount paid for your current subscription term, whichever is lower.
11.4 Critical Use Disclaimer
The Slotly platform is not designed, intended, or authorized for use in critical applications where failure could lead to death or personal injury, environmental damage, or critical financial loss. You agree not to use the platform for such purposes.
11.5 Data Loss
While we implement backup procedures, we are not responsible for data loss due to your actions or inactions, corruption of data due to third-party services or integrations, or loss of data due to force majeure events. You are responsible for maintaining your own backups of critical data.
12. Dispute Resolution
12.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
12.2 Arbitration Agreement
Any dispute, controversy, or claim arising out of or relating to these Terms shall be settled by arbitration in accordance with the Arbitration and Conciliation Act, 1996.
12.3 Arbitration Procedures
- The arbitration shall be conducted in Bangalore, Karnataka, India
- The arbitration shall be conducted in English
- The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties
- If parties cannot agree on an arbitrator within 30 days, the arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996
- The arbitrator's decision shall be final and binding on both parties
12.4 Costs
Each party shall bear its own costs of arbitration, including legal fees. The cost of the arbitrator shall be shared equally unless the arbitrator determines otherwise.
12.5 Exceptions
Notwithstanding the arbitration provision:
- Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information
- Claims below the applicable small claims court threshold may be brought in small claims court
13. Modifications to Terms
13.1 Right to Modify
We reserve the right to modify these Terms at any time. When we make changes, we will:
- Update the "Last Updated" date
- Notify you via email at least 30 days before changes take effect
- Post the updated Terms on our website
13.2 Acceptance of Changes
Your continued use of the Slotly platform after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must cancel your subscription before the changes take effect.
13.3 Material Changes
For material changes that significantly affect your rights or obligations, we will provide prominent notice and may require your explicit acceptance before the changes apply to your account.
14. General Provisions
14.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Slotly regarding the services and supersede all prior agreements and understandings.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
14.3 Waiver
The failure of Slotly to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to in writing.
14.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
14.5 Force Majeure
Neither party shall be liable for any failure or delay in performance under these Terms due to circumstances beyond their reasonable control, including but not limited to acts of God, natural disasters, war or terrorism, government actions, internet or telecommunications failures, or pandemics.
14.6 Notices
All notices under these Terms shall be in writing and delivered to:

For Customer, notices shall be sent to the email address associated with your account.
14.7 Relationship
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Slotly.
14.8 Independent Contractors
You and Slotly are independent contractors. Neither party has authority to bind the other or incur obligations on behalf of the other.
14.9 Headings
Section headings in these Terms are for convenience only and do not affect interpretation.
14.10 Language
These Terms are executed in English. If translated, the English version shall prevail in case of any conflict.
15. Acceptable Use Policy
15.1 Prohibited Uses
You agree not to use the Slotly platform to:
- Violate any applicable laws or regulations
- Infringe upon intellectual property rights of others
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to the platform or related systems
- Interfere with or disrupt the platform or servers
- Use automated systems to access the platform in a manner that sends more requests than a human could reasonably produce
- Impersonate any person or entity
- Collect or store personal data of others without consent
- Use the platform for any fraudulent purpose
15.2 Security
You agree to:
- Maintain the confidentiality of your account credentials
- Notify us immediately of any unauthorized use of your account
- Use reasonable security measures to prevent unauthorized access
- Accept responsibility for all activities under your account
15.3 Compliance
You are responsible for ensuring that your use of the platform complies with all applicable laws, including but not limited to data protection and privacy laws, educational regulations, employment laws, and anti-discrimination laws.
16. Support & Maintenance
16.1 Support Channels
Technical support is available via:
- Email support
- In-app chat support
- Support ticket system
16.2 Support Hours
Support is generally available during Indian business hours (Monday-Friday, 9:00 AM - 6:00 PM IST), excluding public holidays. We will make reasonable efforts to respond to urgent issues outside these hours.
16.3 Support Scope
Our support includes:
- Assistance with platform functionality
- Bug reports and fixes
- Guidance on using features
- Technical troubleshooting
Support does not include:
- Custom development beyond the scope of your customization requests
- Training on general computer skills
- Support for third-party integrations not developed by us
- Consulting on institutional policies or procedures
16.4 Updates
We regularly update the platform to add new features, improve performance, fix bugs, and enhance security. Updates are deployed automatically and do not require action from you. We will notify you of major feature releases.
17. Confidentiality
17.1 Confidential Information
Each party may have access to confidential information of the other party, including but not limited to technical information, business strategies, customer data, pricing information, and proprietary methodologies.
17.2 Obligations
Each party agrees to:
- Maintain confidentiality of the other party's confidential information
- Use confidential information only for purposes of fulfilling obligations under these Terms
- Not disclose confidential information to third parties without written consent
- Protect confidential information with at least the same degree of care used for its own confidential information
17.3 Exceptions
Confidentiality obligations do not apply to information that:
- Is or becomes publicly available through no breach of these Terms
- Was rightfully possessed prior to disclosure
- Is independently developed without use of confidential information
- Is required to be disclosed by law or court order (with notice to the other party if legally permitted)
